1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StilFresh Limited, trading as HSCodeFinder.ai ("Company," "we," "our," or "us"), a company registered in England and Wales with its headquarters in London, United Kingdom. By accessing or using HSCodeFinder.ai (the "Platform" or "Service"), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform following such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

HSCodeFinder.ai provides an AI-powered Harmonized System (HS) code classification service for international trade and customs compliance. Our Platform uses artificial intelligence and computer vision technology to analyze product images and descriptions, generating HS code classifications with confidence scores and country-specific customs documentation packages.

The Service includes image upload and analysis capabilities, AI-generated product descriptions with user review and amendment options, HS code classification for multiple destination countries (including the United States, European Union, Canada, China, Great Britain, Australia, and Japan), confidence scoring and detailed reasoning for classifications, classification history tracking, customs documentation package generation, and subscription-based access tiers with varying usage quotas.

3. User Accounts and Registration

To access certain features of the Platform, you must create an account by providing accurate, current, and complete information, including your name, email address, and company details (if applicable). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Subscription Plans and Pricing

HSCodeFinder.ai offers multiple subscription tiers, including a Free plan with 10 total lifetime classifications, a Starter plan at £19 per month with 100 monthly classifications, a Pro plan at £49 per month with unlimited classifications and advanced features, and a Business plan at £149 per month with priority support and compliance assistance. All prices are stated in British Pounds (GBP) and exclude applicable taxes unless otherwise indicated.

Subscription fees are billed monthly in advance and are non-refundable except as required by law. Payment processing is handled securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through your account settings, and cancellation will take effect at the end of the current billing period.

We reserve the right to modify subscription pricing with at least 30 days' notice. Price changes will not affect your current billing period but will apply to subsequent renewals unless you cancel before the new pricing takes effect.

5. Usage Quotas and Limitations

Each subscription tier includes a specified quota for HS code classifications. Free plan users receive 10 total lifetime classifications. Starter plan users receive 100 classifications per month, Pro plan users receive unlimited classifications, and Business plan users receive unlimited classifications with priority processing. Monthly quotas reset on the first day of each calendar month.

If you exceed your quota, you will be prompted to upgrade to a higher-tier plan. For paid tiers, unused monthly classifications do not roll over to subsequent months. We reserve the right to implement fair use policies to prevent abuse of unlimited classification plans.

6. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not upload content that infringes intellectual property rights or violates any law; use the Service to classify illegal, prohibited, or restricted goods; attempt to reverse engineer, decompile, or extract the source code of our AI models; use automated tools (bots, scrapers) to access the Platform without authorization; interfere with or disrupt the Platform's operation or security; impersonate any person or entity or misrepresent your affiliation; or engage in any activity that could harm, disable, or impair the Platform.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

7. Intellectual Property Rights

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, software, AI models, and algorithms, are owned by StilFresh Limited or its licensors and are protected by UK and international copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your personal or internal business purposes in accordance with these Terms.

You retain ownership of the product images and descriptions you upload to the Platform. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely for the purpose of providing the Service and improving our AI classification accuracy. We will not share your uploaded content with third parties except as necessary to provide the Service or as required by law.

8. Disclaimer of Warranties and Limitation of Liability

8.1 No Warranty

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

While we strive to provide accurate HS code classifications, we do not guarantee that our AI-generated classifications are error-free, complete, or suitable for your specific customs compliance needs. HS code classification is a complex process subject to interpretation, and final responsibility for customs declarations rests with you.

8.2 Professional Advice Disclaimer

HSCodeFinder.ai is an informational tool and does not constitute professional customs brokerage, legal, or tax advice. You should consult with qualified customs brokers, trade compliance professionals, or legal advisors before making customs declarations or relying on our classifications for commercial purposes. We are not liable for any customs duties, penalties, fines, or legal consequences arising from the use of our classifications.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UK LAW, STILFRESH LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under UK law.

9. Indemnification

You agree to indemnify, defend, and hold harmless StilFresh Limited, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, your violation of any rights of third parties, or your customs declarations based on our classifications.

10. Data Protection and Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with UK GDPR and the Data Protection Act 2018. 11. Termination

You may terminate your account at any time by contacting us at [email protected] or through your account settings. Upon termination, your access to the Platform will cease, and your subscription will not renew. We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, abuse the Platform, fail to pay subscription fees, or for any other reason at our sole discretion.

Upon termination, all provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability. We will retain your data in accordance with our Privacy Policy and applicable legal requirements.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales. You agree to submit to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will make reasonable efforts to resolve disputes amicably within 30 days of receiving notice.

13. Changes to Terms

We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. For significant changes, we may provide additional notice through email or prominent platform notifications.

Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and may terminate your account.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StilFresh Limited regarding the use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter hereof.
